1. Agreement to Terms
By accessing or using FARA Monitor (the “Service”), operated by FARA Monitor (“we,” “us,” or “our”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you may not access or use the Service.
2. Description of Service
FARA Monitor is a subscription-based intelligence service that monitors filings made under the Foreign Agents Registration Act (FARA) with the U.S. Department of Justice. The Service provides AI-generated analysis of publicly available FARA filings, delivered via email alerts to subscribers. The Service includes entity selection tools, filing analysis, and alert delivery.
3. Subscriptions and Billing
Access to the Service requires a paid subscription. By subscribing, you authorize us to charge the payment method you provide on a recurring basis at the subscription rate in effect at the time of each renewal. Subscription fees are billed in advance on a monthly basis.
We offer a 30-day free trial for new subscribers. You will not be charged during the trial period. If you do not cancel before the trial ends, your subscription will automatically convert to a paid plan.
You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing cycle. We do not provide refunds for partial billing periods.
We reserve the right to change subscription pricing with 30 days’ written notice to your registered email address. Continued use of the Service after a price change constitutes acceptance of the new pricing.
4. Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:
- Use the Service to develop, directly or indirectly, any product or service that competes with the Service, including but not limited to FARA filing monitoring, analysis, or alerting tools;
- Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code, algorithms, prompts, or underlying technology of the Service;
- Systematically download, scrape, harvest, or extract data or content from the Service, including alert content, filing analyses, or entity data, whether manually or through automated means;
- Redistribute, republish, resell, or sublicense the Service or any content generated by the Service without our prior written consent;
- Share your account credentials or allow multiple individuals to access the Service through a single subscription, unless authorized under an enterprise plan;
- Use the Service in any manner that could damage, disable, overburden, or impair the Service or interfere with any other party’s use of the Service;
- Use the Service to transmit any material that is unlawful, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable;
- Attempt to gain unauthorized access to any portion of the Service, other accounts, or any systems or networks connected to the Service.
5. Intellectual Property
The Service and all content, features, and functionality thereof — including but not limited to alert content, filing analyses, software, algorithms, AI prompts, text, graphics, logos, and the overall design and arrangement of the Service — are owned by FARA Monitor and are protected by United States and international copyright, trademark, trade secret, and other intellectual property laws.
Your subscription grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal informational purposes only. This license does not include the right to reproduce, modify, distribute, or create derivative works from the Service or its content, except as expressly permitted in these Terms.
The underlying data analyzed by the Service — FARA filings made with the U.S. Department of Justice — is publicly available government data. Our intellectual property rights apply to our analysis, presentation, formatting, selection, and arrangement of that data, not to the underlying government filings themselves.
6. Disclaimer of Warranties
THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY.
The Service uses artificial intelligence to analyze FARA filings. AI-generated analysis may contain errors, omissions, or inaccuracies. We do not guarantee the completeness, accuracy, reliability, or timeliness of any analysis or alert. Filing analyses are provided for informational purposes only and should not be relied upon as legal, regulatory, or compliance advice.
We do not guarantee uninterrupted or error-free operation of the Service. The availability and timeliness of alerts depend on factors outside our control, including the U.S. Department of Justice’s publication schedule and system availability.
7. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, FARA MONITOR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (B) ANY ERRORS, INACCURACIES, OR OMISSIONS IN SERVICE CONTENT, INCLUDING AI-GENERATED ANALYSES; (C) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SERVERS OR ANY PERSONAL INFORMATION STORED THEREIN; OR (D) ANY INTERRUPTION OR CESSATION OF THE SERVICE.
IN NO EVENT SHALL OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATED TO THE SERVICE EXCEED THE TOTAL AMOUNT PAID BY YOU FOR THE SERVICE DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
8. Indemnification
You agree to indemnify, defend, and hold harmless FARA Monitor and its officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses arising from: (a) your use of the Service; (b) your violation of these Terms; or (c) your violation of any third-party right.
9. Termination
We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will immediately cease. Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property provisions, disclaimers, indemnification, and limitations of liability.
10. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify you of material changes by sending notice to your registered email address or by posting the updated Terms on the Service. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.
11. Governing Law
These Terms shall be governed by and construed in accordance with the laws of Virginia, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved exclusively in the federal or local courts located in Virginia.
